<p>This document sets out the promotional discount terms and conditions for customers referred by Hoxton Mix&nbsp;(Registered Number 07212205) to Ember Digital Limited (Registered Number 11822163). The promotion applies to&nbsp;new customers with a Hoxton Mix account only.</p>
<h3>DISCOUNT PERIOD</h3>
<p>&nbsp;</p>
<p>This effective eligibility period to apply the discount will run for 12 months once the standard 14-day trial elapses.&nbsp;Discount will then be applied for 12 months from that date for monthly subscriptions and for 12 months from that&nbsp;date for annual subscriptions. The following promotions are included:</p>
<ul>
<li>20% off for the first 12 months (when paying monthly or annually*)</li>
</ul>
<p>*The 20% discount will be applied to the already discounted annual price when paying up front in advance.</p>
<p><strong>A new user is defined as a new Ember subscriber who has never used Ember.</strong></p>
<h3>QUALIFYING PRODUCTS INCLUDED IN THE PROMOTIONAL DISCOUNT</h3>
<p>The following products are eligible for discount:</p>

<p>The following products are not eligible for discount</p>

<li>Ember Self-Assessment filing (with the exception of Unlimited annual plan for sole traders, where Self Assessment filing is included)</li>

<li>Ember One-off Accountant Call</li>
</ul>
<h3>ELIGIBILITY</h3>
<p>New Ember subscribers will qualify for the promotional discount. Discount will only be applied when they select a Pro or an Unlimited plan as a Sole trader or Essentials or Full Service as a Limited Company. If they select the Starter plan, they will not benefit from a discount until they are on a paid plan. However, the period of eligibility for a 12 month discount will commence as soon as they have connected their current account. Discount will only be applied once their current account has been connected and they are on a paid subscription plan (see &lsquo;Discount Period&rsquo;).</p>
<p>Existing Ember subscribers on a Starter plan, who have their current account already connected and who have not made use of any of our previous partnership discounts (ie. 3 months Free), will qualify for the promotional discount. Ember will notify them about this new discount via email.</p>
<p>If a new subscriber on a Sole Trader Starter monthly plan upgrades (from Starter to Pro or Unlimited) within the 12-month discount period, the discount will not be applied to the new plan for the remainder of the period.</p>
<ul>
<li>E.g. If a customer was on a Starter monthly plan for 1 month and upgraded to either a Pro, or an Unlimited<br>Plan in their second month, the 20% discount will not be carried forward to the new plan.</li>
</ul>
<p>If a new subscriber on a monthly paying plan decides to upgrade within the 12-month discount period, the discount&nbsp;will not be applied to the new plan for the remainder of the period. Their current account must have been connected&nbsp;within the 14 day trial period.</p>
<ul>
<li>E.g. If a customer was on a Pro monthly plan for 1 month and upgraded to Unlimited in their second month,<br>the 20% discount will not be carried forward to the new plan.</li>
</ul>
<p>If a new subscriber on a monthly paying plan decides to downgrade within the 12-month period, the discount will not&nbsp;be applied to the new plan for the remainder of the period. Their current account must have been connected within&nbsp;the 14 day trial period.</p>
<ul>
<li>E.g. If a customer was on an Unlimited monthly plan for 1 month and downgraded to Pro in their second<br>month, the 20% discount will not be carried forward to the new plan.</li>
</ul>
<p>If a new subscriber on any monthly plan chooses to switch to any annual paid plan within the 12-month discount&nbsp;period, the discount will not be applied to the new annual plan for the remainder of the 12-month annual period.</p>
<ul>
<li>E.g. If a customer was on any monthly plan for 2 months and switched to an annual plan in their third&nbsp;month, the 20% monthly plan discount will not be carried forward pro-rata to this new annual plan.</li>
</ul>
<p>However, Ember reserves the right to offer any of the partnership discounts to non-eligible customers on a&nbsp;discretionary basis.</p>
<h3>QUALIFYING CRITERIA</h3>
<p>In order for new subscribers to qualify for the promotional discount, the applicant should apply from the Hoxton mix partner marketplace, then connect their current account, upon registering their account with Ember:</p>
<p>Onboarding requirements for a Limited Business:</p>
<ul>
<li>Valid email address</li>
<li>Registered business on Companies House</li>
</ul>
<p>Onboarding requirements for a Sole Trader:</p>
<ul>
<li>Valid email address</li>
<li>Full name</li>
<li>Business name (if they are not trading out of their personal name)</li>
<li>Street Address</li>
<li>City/Town</li>
<li>Postcode</li>
</ul>
<p>Ember is unable to support the following types of businesses:</p>
<ul>
<li>Non-UK based businesses</li>
<li>Charities</li>
<li>CICs</li>
<li>PLCs</li>
<li>Group companies</li>
<li>Partnerships</li>
<li>Foreign payroll</li>
<li>Investment based businesses (traders) (if operating out of a Limited Company)</li>
<li>Cryptocurrency (if operating out of a Limited Company)</li>
</ul>
<p>This list is not exhaustive and Ember reserves the right to determine suitability of potential subscribers.</p>
<h3>MULTIPLE DISCOUNTS</h3>
<p>Existing Ember subscribers, who have previously taken on other discounts or are currently in the discounting period&nbsp;for a different discount, including but not limited to our previous 3 months free (monthly), will not be eligible to&nbsp;apply for this new 12 months 20% discount.</p>
<h3><br>EXCEPTIONS</h3>
<p>New Ember subscribers, making use of Hoxton Mix services, will qualify for the promotional discount if for whatever&nbsp;reason they do not apply via the Hoxton Mix marketplace. In this scenario, they should connect their current account&nbsp;within the 14-day trial period and a discount will be applied to paid plans. The discount eligibility period will run for<br>12 months from the first billing date (see &lsquo;Discount Period&rsquo;).</p>
<p>In these circumstances, the customer will be notified of the reasoning for the discount upon registering and&nbsp;connecting their current account.</p>
<p><br>This only applies to new customers. New customers are defined as any Hoxton Mix customer who applies once the&nbsp;partnership has gone live.</p>
<p><br>Ember cannot guarantee that any additional exceptions that fall outside of those listed above will be approved and&nbsp;will be applied on a discretionary basis.</p>
<h3>RETURNING USERS</h3>
<p><strong>Monthly plan</strong></p>
<p>If a Hoxton Mix customer joins Ember, subscribes to a monthly plan with the discount applied, then cancels their subscription and returns within the 12-month eligibility period to re-subscribe, then the discount will be applied for the remainder of the 12-month period. The period of eligibility will run from the first billing date on the initial subscription plan. Full price will be applied once the initial 12-month eligibility period elapses.</p>
<p><br>Returning subscribers will need to re-connect their current account, as they did so previously, upon returning.</p>
<p><br>If a Hoxton Mix customer joins Ember and takes up the discount, cancels their subscription and returns after the 12-month eligibility period for discount, then discount will not be applied. If they decide to re-subscribe then the full&nbsp;price will be applied.</p>
<p><br>If a Hoxton Mix customer joins Ember, subscribes to a monthly plan with a different discount applied, including but&nbsp;not limited to our 3 months free offer, then cancels their subscription and returns after the 6 month eligibility period&nbsp;to re-subscribe, they will not be eligible for this new discount as they have previously taken up a different&nbsp;discount (see &lsquo;Multiple Discounts&rsquo;).<br><br></p>
<p><strong>Annual plan</strong></p>
<p>If a Hoxton Mix customer joins Ember, subscribes to an annual plan with the discount applied, then cancels their&nbsp;subscription and returns within the 12-month annual subscription period then they will have access to their Ember&nbsp;account, at the discounted price, until the initial 12-month period elapses. The period of eligibility will run from the&nbsp;first billing date on the initial subscription plan. Full price will be applied once the initial 12-month subscription term&nbsp;elapses.</p>
<p><br>If a Hoxton Mix customer joins Ember and takes up the discount, cancels their subscription and returns after the 12-&nbsp;month subscription period, then discount will not be applied. If they decide to re-subscribe then the full price will be&nbsp;applied.</p>
<p><br>If a Hoxton Mix customer joins Ember, subscribes to an annual plan with a discount applied, including but not limited&nbsp;to our 20% off your first year or 3 months free offer, then cancels their subscription and returns after the 12-month&nbsp;eligibility period to re-subscribe, they will not be eligible for this new discount as they have previously taken up a&nbsp;different discount (see &lsquo;Multiple Discounts&rsquo;).</p>
<p><br>If a customer was previously an Ember subscriber who cancelled their subscription, prior to the launch of the Hoxton&nbsp;Mix partnership, then decides to re-subscribe again via the Hoxton Mix partner marketplace, then they will be&nbsp;eligible for either a monthly or an annual discount.</p>
<h3>END OF TERM</h3>
<p>At the end of the promotional discount period, the subscription price will increase in line with the price of the same&nbsp;plan at the time that the discount period elapses. Prices may vary over time.</p>
<p><br>There are no cancellation fees and the customer may cancel their subscription at any time. If the customer is on a&nbsp;monthly subscription then they will not be charged for the following monthly billing cycle. However, if the customer&nbsp;is on an annual plan, then they will not be charged for the following annual billing cycle. No refunds will be issued for&nbsp;the period in which the customer does not use Ember but they will continue to have access until the end of the paid-for period.</p>
<p>If the customer has not cancelled the subscription at the end of the discount term, they will automatically be charged&nbsp;full price for their plan in the following billing cycle. This will continue until the subscription has been cancelled. The&nbsp;customer will not be notified when they approach the end of their term.</p>
<h3>DISCOUNT EXPIRY</h3>
<p>This discount does not have an expiration date. However, the discount offered and the discount terms are subject to&nbsp;change at the discretion of both parties - Ember and Hoxtonmix.</p>
